InvoiceChief Terms of Service
Effective date: October 25, 2026 Last updated: October 29, 2026
These Terms of Service ("Terms") are a legal agreement between you and INVOICECHIEF LLC, a Florida limited liability company ("InvoiceChief", "we", "us", "our"), for your use of the InvoiceChief website at invoicechief.com, the InvoiceChief mobile apps, and related services (together, the "Service").
Please read these Terms carefully. Section 16 contains a binding arbitration agreement and class action waiver that affect how disputes are resolved. You may opt out of arbitration within 30 days as described in Section 16.
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy at invoicechief.com/privacy. If you use the Service for a business, you agree on behalf of that business and confirm you have authority to do so; "you" then includes that business.
1. Who can use InvoiceChief
You must be at least 18 years old and able to form a binding contract. The Service is intended for business and professional use. You may not use the Service if you are barred from doing so under applicable law.
2. Your account
- Give accurate information and keep it up to date.
- Keep your password confidential. You are responsible for everything that happens under your account.
- Tell us right away at support@invoicechief.com if you think someone has used your account without permission.
3. The Service
InvoiceChief helps you create and send invoices and estimates, keep customer and job records, attach photos, collect client signatures, record payments you receive, and request reviews. We may add, change or remove features over time. Features, limits and prices for each plan are shown in the app or on our website at the time you use or buy them.
4. Plans, subscriptions and automatic renewal
Free plan. We may offer a free plan with limited features or usage. We may change free-plan features and limits with reasonable notice.
Paid plans. Paid plans are subscriptions. The name of each plan, what it includes, its length (for example, monthly or yearly) and its price are shown before you buy.
Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, and your payment method is charged, unless you cancel at least 24 hours before the end of the current period. You can turn off automatic renewal at any time:
- Apple App Store: iPhone Settings → [your name] → Subscriptions, or https://apps.apple.com/account/subscriptions
- Google Play: Play Store app → profile icon → Payments & subscriptions → Subscriptions, or https://play.google.com/store/account/subscriptions
- Our website: when website purchases are available, email support@invoicechief.com from the email address on your account and we will cancel it.
When you cancel, you keep paid features until the end of the period you already paid for. After that, your account moves to the free plan. Your data is not deleted because a subscription ends.
Free trials and introductory offers. If we offer a trial or introductory price, its length and the price that applies afterward are shown before you start. Unless you cancel before the trial or offer ends, the subscription converts to the regular paid price automatically.
Price changes. We may change subscription prices. We will give advance notice as required by law and by Apple or Google, and the new price applies from your next renewal. If you do not agree, you can cancel before the renewal.
Taxes. Prices may not include taxes. Apple, Google or we may charge applicable taxes.
5. Payments and refunds
App Store and Google Play purchases are billed by Apple or Google under their terms. We cannot issue refunds for them. To request a refund:
- Apple: https://reportaproblem.apple.com or https://support.apple.com/118223
- Google Play: https://support.google.com/googleplay/answer/2479637
Website purchases are billed through our payment processor, Stripe. Except where the law requires otherwise, payments are non-refundable and we do not give refunds or credits for partial periods, unused features, or downgrades. If we discontinue a paid Service you are subscribed to on our website, we will refund the unused, pre-paid portion.
You must not buy a plan on one platform and dispute the charge on another to obtain free access. We may suspend paid features if a payment fails, is reversed or is charged back.
6. Your content
You own your content. "Your Content" means everything you or your clients put into the Service: business details, logos, customer information, invoices, estimates, jobs, notes, photos, signatures and other material.
License to us. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display and transmit Your Content only as needed to operate, secure and provide the Service to you (for example, to generate a PDF or show a document to the client you shared it with). This license ends when Your Content is deleted from the Service, except for copies kept in backups or as described in our Privacy Policy.
Your responsibilities. You are responsible for Your Content and confirm that:
- you have the right to use and share it, including any personal information about your customers, and you have given any notices and obtained any consents the law requires;
- it is accurate, including amounts, taxes and terms on your documents;
- it does not infringe anyone's rights or break any law.
Shared links. Anyone with a document's private link can view that document. You are responsible for who you share links with.
Signatures. InvoiceChief records a client's typed name and drawn signature with a time stamp and the agreement text you set. Whether a signature is legally valid or enforceable for your purpose depends on the law that applies to you and your client. We do not guarantee that any signature, document or agreement will be enforceable.
Backups. Keep your own copies of important records. We work to keep your data safe, but we do not guarantee it will never be lost.
7. Feedback
If you send us ideas or suggestions, we may use them freely without paying you or owing you anything.
8. Acceptable use
You agree not to:
- use the Service for anything illegal, fraudulent or deceptive, including fake or misleading invoices, phishing, or requesting payment you are not owed;
- send spam or unwanted messages, or send to people who have not agreed to hear from you where consent is required;
- upload content that is unlawful, infringing, harassing, hateful, sexually explicit or harmful, or that contains malware;
- collect or share other people's personal information without a legal right to do so;
- interfere with, overload, probe or bypass the security of the Service, or access other users' data;
- copy, resell, rent or reverse engineer the Service, except where the law allows it;
- use bots or automated tools to access the Service except through features we provide;
- impersonate anyone or misrepresent your business.
We may remove content or limit, suspend or close accounts that break these rules.
9. Not tax, legal, accounting or financial advice
InvoiceChief is a software tool. We do not provide tax, legal, accounting or financial advice. Any templates, default text, tax fields or calculations are provided for convenience only. You are responsible for your invoices, estimates, tax amounts, contracts, record-keeping and compliance with the laws that apply to your business. Talk to a qualified professional if you need advice.
We are not a party to your transactions. InvoiceChief does not collect money from your clients for you and is not a bank, payment processor or money transmitter. Payments you record in the app are entered by you. Any dispute about a job, an invoice, an estimate or a payment is between you and your client.
10. Third-party services
The Service works with services we do not control, such as Apple, Google, Stripe, email and messaging apps, and Google reviews. Your use of those services is governed by their terms and privacy policies, and we are not responsible for them.
11. Our intellectual property
The Service, including its software, design, logos and the "InvoiceChief" name, belongs to InvoiceChief and its licensors and is protected by law. We give you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service under these Terms. All rights not expressly granted are reserved.
12. Termination
By you. You may stop using the Service and delete your account at any time in the app (More → Settings → Delete account) or as described on our Support page at invoicechief.com/support#delete-account. Deleting your account is permanent and cannot be undone; your data is erased within 14 days as described in our Privacy Policy. Deleting your account does not cancel an App Store or Google Play subscription; cancel it with Apple or Google first.
By us. We may suspend or terminate your access if you break these Terms, if required by law, if your account poses a security or legal risk, or if we stop offering the Service. When reasonable, we will give you notice and a chance to export your information first. If we terminate your account without cause, we will refund any unused, pre-paid portion of a website subscription.
Sections that by their nature should survive termination (including 5, 6, 7, 9, 11, 13 to 18) will survive.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF DATA LOSS, THAT CALCULATIONS WILL BE CORRECT FOR YOUR SITUATION, OR THAT EMAILS OR MESSAGES WILL BE DELIVERED. Some places do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW:
- INVOICECHIEF AND ITS OWNERS, MEMBERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, even if we were told they were possible.
- OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.
These limits apply to any theory of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law, such as for fraud or intentional misconduct.
15. Indemnity
You will defend, indemnify and hold harmless InvoiceChief and its owners, members and employees from claims, losses and costs (including reasonable attorneys' fees) arising from Your Content, your use of the Service, your dealings with your clients, or your breach of these Terms or the law.
16. Dispute resolution: arbitration and class action waiver
Talk to us first. Before filing a claim, email support@invoicechief.com with a description of the problem. We will try to resolve it informally within 60 days.
Binding arbitration. If we cannot resolve it, you and InvoiceChief agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules (the Consumer Arbitration Rules if you use the Service mainly for personal purposes, otherwise the Commercial Arbitration Rules). The Federal Arbitration Act governs this section. The arbitration may be held by video or phone, or in Broward County, Florida, or the county where you live. The arbitrator may award the same individual relief a court could.
Exceptions. Either party may bring an individual claim in small claims court, and either party may ask a court for an injunction to protect intellectual property or stop unauthorized use of the Service.
Class action waiver. YOU AND INVOICECHIEF MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. The arbitrator may not combine claims of more than one person. If this waiver is found unenforceable for a claim, that claim must be decided in court, not in arbitration.
30-day opt-out. You may opt out of this arbitration agreement by emailing support@invoicechief.com within 30 days after you first accept these Terms, with the subject "Arbitration opt-out" and your name and account email. Opting out does not affect any other part of these Terms.
Time limit. To the extent allowed by law, any claim must be brought within one year after it arises.
17. Governing law and venue
These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules. For any matter not subject to arbitration, the state and federal courts located in Broward County, Florida, have exclusive jurisdiction, and you and we consent to them. If you are a consumer living outside the United States, you may also have rights under the mandatory laws of your country that these Terms do not take away.
18. General
- Changes to these Terms. We may update these Terms. We will post the new version here and update the date above. If a change is material, we will notify you in the app or by email at least 15 days before it takes effect, unless the change is required by law or for security. If you keep using the Service after the change takes effect, you accept the new Terms. If you do not agree, stop using the Service and delete your account. Changes to Section 16 do not apply to disputes already pending.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
- Severability. If any part is found unenforceable, the rest stays in effect.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition or sale of assets.
- Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control.
- Notices. We may send notices to your account email or in the app. You may send notices to us at support@invoicechief.com.
- Language. We may provide translations. If there is a conflict, the English version controls.
19. Apple App Store additional terms
If you downloaded the app from the Apple App Store, these additional terms apply:
- These Terms are between you and InvoiceChief only, not Apple. InvoiceChief, not Apple, is solely responsible for the app and its content.
- Your license to use the app is limited to use on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide any maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. Any other claims, losses, liabilities, damages, costs or expenses due to a failure to conform to a warranty are InvoiceChief's responsibility, to the extent not disclaimed in these Terms.
- InvoiceChief, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and claims under consumer protection, privacy or similar laws.
- If a third party claims that the app or your possession and use of it infringes their intellectual property rights, InvoiceChief, not Apple, is solely responsible for the investigation, defense, settlement and discharge of that claim.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Questions, complaints or claims about the app: INVOICECHIEF LLC, Florida, USA, support@invoicechief.com.
- You must comply with applicable third-party terms (for example, your wireless data service agreement) when using the app.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
20. Google Play
If you downloaded the app from Google Play, your use of Google Play is also governed by Google's terms. Google is not responsible for the app or these Terms.
